3. User Responsibilities

  • Use our services only for lawful purposes

Important: You are responsible for ensuring that all information provided for bid submissions is accurate and complies with government requirements. Morajaa Consultants is not liable for any consequences arising from inaccurate or incomplete information provided by clients.

4. Payment Terms

a. Service Fees

Service fees are determined based on:

  • Scope and complexity of the project
  • Time requirements and deadlines
  • Specialized expertise required
  • Government entity and bid value

b. Payment Schedule

  • Initial consultation fee: Due upon service agreement
  • Project milestones: As outlined in service contract
  • Final payment: Due upon project completion
  • Success fees: Applicable for successful bid awards (if agreed)

c. Payment Methods

We accept payments via bank transfer, certified checks, and other methods as agreed upon in the service contract.

5. Intellectual Property Rights

a. Our Intellectual Property

All content, methodologies, templates, and proprietary processes developed by Morajaa Consultants remain our exclusive intellectual property. This includes but is not limited to consultation frameworks, analysis templates, and strategic methodologies.

b. Client Materials

All materials, documents, and information provided by clients remain the property of the respective clients. We will use such materials solely for the purpose of providing agreed services.

c. Work Product

Deliverables created specifically for clients (such as customized bid proposals) become the property of the client upon full payment, while our underlying methodologies and processes remain our property.

6. Confidentiality

We understand the sensitive nature of government bidding and business information. Morajaa Consultants commits to:

  • Maintain strict confidentiality of all client information
  • Use client information solely for providing agreed services
  • Implement appropriate security measures to protect sensitive data
  • Not disclose client information to third parties without explicit consent
  • Return or destroy confidential materials upon request or contract termination

This confidentiality obligation survives the termination of our service agreement and continues indefinitely.

7. Limitation of Liability

Important Disclaimer: While we strive to provide high-quality consulting services, we cannot guarantee the success of any bid or project outcome.

Morajaa Consultants' liability is limited as follows:

  • Our total liability shall not exceed the fees paid for the specific service
  • We are not liable for indirect, consequential, or punitive damages
  • We are not responsible for government decisions or bid award outcomes
  • We are not liable for delays caused by government entities or third parties
  • Our advice is based on information available at the time of consultation

Clients acknowledge that government bidding involves inherent risks and uncertainties beyond our control.

8. Termination

a. Termination by Client

Clients may terminate services with 7 days written notice. Fees for completed work and expenses incurred up to the termination date remain payable.

b. Termination by Morajaa

We may terminate services immediately if:

  • Payment terms are not met
  • Client provides false or misleading information
  • Client requests services that violate laws or regulations
  • There is a breach of these Terms and Conditions

c. Effect of Termination

Upon termination, all obligations cease except for payment of outstanding fees, confidentiality obligations, and intellectual property rights.

9. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising from these terms or our services shall be resolved through:

  1. Good faith negotiations between the parties
  2. Mediation through a mutually agreed mediator
  3. Arbitration in accordance with Saudi Arabian arbitration laws
  4. The competent courts in Riyadh, Saudi Arabia, as a last resort

All proceedings shall be conducted in Arabic or English as mutually agreed.

10. Changes to These Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on our website. We will notify existing clients of material changes via email or through our website.

Continued use of our services after changes constitutes acceptance of the modified terms. If you do not agree with the changes, you must discontinue use of our services.
